1. Definitions

In these Terms:

• “User” means any visitor to the Site (including Browsers and Registered Users).
• “Subscriber” means a User who has paid for a paid listing or other paid services on the Site.
• “Listing” means the business entry, profile, or advertisement posted by a Subscriber on the Site.

2. Applicability — For All Users

The provisions in this Section apply to all Users, whether or not they register or subscribe for paid services.

• Acceptance of Terms — Use of the Site constitutes acceptance of these Terms and our Privacy Policy and Disclaimer.
• Eligibility — You must be at least 18 years old and have the legal capacity to enter into binding contracts.
• User Conduct — You agree not to post or transmit anything unlawful, defamatory, abusive, obscene, discriminatory, or otherwise objectionable.
• Intellectual Property — All content on the Site (design, text, logos) is owned or licensed by the Company. You may not reproduce copyrighted material without permission.
• Links to Third Parties — The Site may contain links to third-party websites. We do not endorse and are not responsible for third-party content.
• No Professional Advice — Information on the Site is for general informational purposes and does not constitute legal, financial, or professional advice.

3. Subscriber Terms (For Paid & Free Listing Users)

The provisions in this Section apply specifically to Subscribers who post Listings, purchase services, or otherwise pay subscription fees.

3.1 Listing Requirements

• Accuracy — Subscribers must ensure that all information provided is accurate, up-to-date, and not misleading.
• Prohibited Content — Listings must not contain illegal goods/services, hate speech, infringing materials, or fraudulent claims.
• Right to Remove — We reserve the right to remove, suspend, or edit Listings that violate these Terms or our policies.

3.2 Fees, Plans & Update Charges

The Site offers multiple listing plans and fees which may be published on the Site from time to time (including promotional offers). Examples of plans may include trial, 1-year, 2-year and 3-year subscriptions.

One-time Setup Fee and per-update fees may apply as published on the Site.

3.3 Payment Terms (For Subscriber Users)

Official Payment Channel: All subscription and other payments must be made directly to the official bank account of DIY Business System (JM0992313-K) as follows:

Important: No other bank account, personal account, agent, representative, or third party is authorised to collect payments on behalf of MalaysiaSMEdirectory.com.

No Cash Payments Accepted: The Company does not accept cash payments under any circumstances and will not recognise cash as a valid method of payment for Subscriptions.

No Responsibility for Third-Party Transactions: The Company shall not be responsible or liable for any disputes, losses, fraud, or claims arising from payments made in cash or to unauthorised persons, personal bank accounts, agents, or intermediaries. If you make any payment to an unauthorised person or account, you do so at your own risk and the Company will not be responsible for refunding or resolving such payments.

Payment Verification: A Subscription will be activated only after payment has been verified by the Company. Subscribers must provide proof of payment when requested. The Company may require additional time to verify international or bank transfer payments.

3.4 Activation, Renewal & Cancellation

• Activation — Listings are activated only after payment verification and acceptance of the Listing content by the Company.
• Renewal — Subscriptions may be set to auto-renew or manual renew as indicated at the time of purchase. Renewal charges will be applied according to the then-current fees.
• Cancellation & Refunds — Cancellation policies and refund eligibility are subject to the specific plan purchased and our published Refund Policy. Promotional free listings and strongly discounted offers may be non-refundable.

3.5 Update & Editing Fees

Post-listing edits or updates may incur a fee as published on the Site (for example, RM50 per update). The Company reserves the right to change update fees and will notify Subscribers of such changes.

4. User Content & License

By submitting content to the Site (text, images, logos), you grant the Company a non-exclusive, worldwide, royalty-free, transferable right to use, reproduce, modify, publish, and distribute such content on the Site and related marketing channels. You warrant that you have the necessary rights to submit the content.

5. Warranties & Limitation of Liability

The Site and all content are provided “as is” without warranties of any kind. To the fullest extent permitted by law, the Company disclaims all warranties, whether express or implied. The Company will not be liable for any indirect, incidental, consequential, or special damages arising from use of the Site. Our aggregate liability to you for any claim arising from or relating to these Terms or the Site shall not exceed the total fees paid by you to the Company in the twelve (12) months preceding the claim.

6. Indemnification

You agree to indemnify, defend and hold harmless the Company and its officers, directors, employees and agents from and against all claims, damages, obligations, losses, liabilities, costs or debt and expenses arising from (a) your use of the Site, (b) your violation of any term in these Terms, or (c) your violation of any third-party right.

7. Suspension & Termination

The Company may suspend or terminate access to the Site or any Listing at any time without prior notice if we reasonably believe you have violated these Terms or for operational reasons. Termination does not relieve you of any payment obligations incurred prior to termination.

8. Changes to Fees & Terms

We may change fees, plans, and these Terms from time to time. Material changes will be notified to Subscribers by email or via the Site. Continued use of the Site after notice constitutes acceptance of the revised Terms.

9. Dispute Resolution & Governing Law

These Terms are governed by the laws of Malaysia. Any dispute arising out of or relating to these Terms shall be resolved by the courts of Malaysia.

11. Miscellaneous
